Welcome to Zendeck! These Terms of Use ("Terms") apply to your ("you" or "your") use of the Zendeck visual communication platform (the "Service"). By using the Service, you agree that these Terms will become a legally binding agreement between you and the Zendeck contracting entity identified in these Terms ("Zendeck").
1. Overview
Zendeck is an online tool for intelligently generating presentation slides and visual content. When you use the Service, you will have access to a variety of content provided by Zendeck and other content providers for use in your designs ("Licensed Content"). Your use of Licensed Content is subject to the Content License Agreement. You may also choose to upload your own content ("User Content"), over which you have full control and responsibility. You may use Licensed Content, your User Content, and the tools provided in Zendeck to create your designs.
The Service is made available through [URL] and other forms provided or made available by Zendeck. Your use of the Service is subject to these Terms and Zendeck's Acceptable Use Policy. By using the Service, you acknowledge Zendeck's Privacy Policy.
You may only use the Service if you are able to form a binding contract with Zendeck and are legally permitted to do so. By using the Service, you represent and warrant that you have the full right, power, and authority to agree to and be bound by these Terms and to fully perform all of your obligations hereunder.
If you sign up for the Service on behalf of an employer or other organization using an email address provided by that organization, then (i) you represent and warrant that you are an authorized representative of that entity with the authority to bind that entity to these Terms; (ii) your use of the Service will bind that entity to these Terms; and (iii) "you" and "your" in these Terms will refer to both you and that entity.
2. Use of Service
Age Requirements.
Children may not access or use the Service unless their use is directly authorized by their parent, guardian, or other authorized adult (e.g., a teacher) who agrees to be bound by these Terms. For purposes of these Terms, a child is defined as anyone under the age of 13 (or the minimum legal age required to consent to the processing of personal data in their country/region).
Access to the Service.
Subject to your compliance with these Terms, you are granted a non-exclusive, limited, non-transferable, and freely revocable license to access and use the Service for commercial or personal purposes. Zendeck reserves all rights not expressly granted in these Terms. Everyone must have a unique account, and you are responsible for any activity on your account. You may not allow any other party to access or use the Service using your unique username, password, or other security code.
Acceptable Use Policy.
Your use of the Service, User Content, and Designs must comply with Zendeck's Acceptable Use Policy.
Anti-Discrimination.
Zendeck does not support and will not tolerate its Service being used to discriminate against others, especially based on race, religion, gender, sexual orientation, age, disability, ancestry, or national origin. You may not use the Service in a manner that is likely to or does incite, promote, or support such discrimination, nor may you use the Service to incite or promote hostility or violence.
Restrictions on Use of Service.
You may not, yourself or through any third party, (i) rent, lease, sell, distribute, offer, sublicense, or otherwise make the Service or Licensed Content available to any third party (except as permitted by these Terms); (ii) copy, decompile, reverse engineer, attempt to derive the source code of, modify, or create derivative works of the Service or any part thereof; (iii) access the Service for purposes of performance benchmarking; (iv) access the Service for purposes of building or marketing a competitive product; (v) use the Service to store or transmit viruses or malicious code; (vi) use a Virtual Private Network (VPN) to circumvent geographic pricing or content access; (vii) use the Service to transmit unsolicited email or spam; (viii) use any form of data mining, extraction, or scraping to capture the Service and/or its available content for machine learning or other purposes; (ix) circumvent measures we may use to prevent or restrict access to the Service, including but not limited to features that prevent or restrict use or copying of any content or enforce limitations on use of the Service or available content.
3. Security and Data Privacy
Information Security.
Zendeck implements and maintains physical, technical, and administrative security measures to protect your information from unauthorized access, destruction, use, modification, or disclosure. You can learn more about how Zendeck protects the Service and your information at the Zendeck Trust Center.
Data Privacy.
Zendeck's Privacy Policy describes how Zendeck collects, uses, transfers, discloses, and stores your personal data. By creating an Zendeck account, you confirm that you have fully read, understood, and agreed to our Data Processing Addendum, which shall govern the processing of your personal data when subject to applicable data laws (as defined in the Data Processing Addendum) during your use of the Service. In the event of any conflict between these Terms and the Data Processing Addendum, the Data Processing Addendum shall prevail.
4. Content and Designs
User Content.
When you upload content to Zendeck, you warrant that you have the rights to that content. We will never acquire ownership of your content, but we do require you to grant us certain rights to store the content and make it ready for use in your designs.
Licensed Content.
You may use Licensed Content in connection with the Service. Use of Licensed Content is subject to additional license rights and restrictions set forth in the Content License Agreement. Applicable license rights and restrictions vary depending on the type and source of the Licensed Content. You can determine the applicable content license terms by hovering over a Licensed Content item and clicking the info icon.
Designs.
Your designs may include a combination of User Content and Licensed Content. While you retain ownership of your User Content, any use of designs containing Licensed Content must comply with the applicable terms of the Content License Agreement.
Sharing and Publishing Your Designs.
You may publish or share designs with others via third-party services or links. Zendeck assumes no responsibility for such design sharing, and Zendeck's use of such activities or services to implement public sharing of designs at your direction shall not be deemed a breach of any of Zendeck's obligations under these Terms.
Processing Personal Data on Your Zendeck Website.
If you are an Zendeck subscriber and collect or process personal data in connection with your Zendeck website, you confirm that you have fully read, understood, and agreed to our Data Processing Addendum, which is incorporated into these Terms for the processing of personal data subject to applicable privacy laws (as defined in the Data Processing Addendum) when you use the Service. In the event of any conflict between these Terms and the Data Processing Addendum, the Data Processing Addendum shall prevail.
5. Service Plans and Billing
Zendeck offers different tiers of service to meet your needs, including a free version and paid subscription memberships. You can view the latest pricing details on our website.
Service Tiers.
Our service is currently divided into the following tiers, with specific benefits subject to the purchase page:
- Free Version: For basic user experience. Includes limited daily AI edits (5 times/day, 30 times total) and a generation limit of up to 10 pages for presentations. Content generated by the free version may have watermarks and may not support downloading in some premium formats.
- Standard Membership ($9.9/month): Includes 1000 monthly credits (approx. enough to generate 15~20 presentations), supports generation of presentations up to 30 pages, and 15 daily AI edits. Enjoys exclusive member templates, watermark-free export, and download privileges for multiple formats.
- Premium Membership ($24.9/month): Includes 3000 monthly credits (approx. enough to generate 45~60 presentations), supports generation of presentations up to 50 pages, and unlimited AI edits. Enjoys all benefits of Standard Membership.
Subscription and Renewal.
If you wish to subscribe to an Zendeck membership, you may sign up for a monthly or annual subscription. Your subscription (if applicable) will automatically renew on a monthly or annual basis. You may cancel your subscription at any time. If you cancel your subscription, you will not be entitled to a refund or credit for any amounts already collected.
Taxes.
Unless otherwise specified in an agreement with Zendeck, the Service, or an applicable invoice, your subscription fee includes all taxes. Taxes are calculated based on the billing information you provide and the tax rate applicable to the subscription fee.
Cancellation.
You may stop using the Service and/or cancel your subscription at any time through your account settings. If you cancel your subscription, you will not be entitled to a refund of any fees already paid, and any unpaid fees will immediately become due and payable.
Price Changes.
Zendeck reserves the right to change prices at any time. If you are on a subscription plan, price changes will take effect thirty (30) days after your next renewal or receipt of notice, whichever is later.
6. Refund Policy
Eligible Refund Circumstances.
If a user has purchased a membership service but has not actually used any membership services (including but not limited to not consuming any credits and not using exclusive member functions) and submits a refund application within 7 days from the date of purchase, Zendeck will process the refund based on the user's application. If the membership service has major defects due to Zendeck's reasons, the user may submit a refund application within 15 days of discovering the issue, and Zendeck will refund the remaining fees based on the actual usage of the service; if the service has not been actually used, a full refund will be given.
Refund Application and Process.
Users need to submit a refund application through Zendeck's official customer service channels (such as support@Zendeck.com) and provide proof of purchase and relevant supporting materials. After receiving the refund application and complete materials, Zendeck will complete the review within 3-5 business days, and the review results will be notified via the user's registered mobile phone number, email, or on-site message. If approved, the refund will be returned via the user's original payment method, and the specific arrival time is subject to the processing cycle of the payment institution.
Non-refundable Circumstances.
If the user has already used the membership service, regardless of the extent of use, refunds will no longer be supported. In addition, refunds will not be supported if the agreed application time limit is exceeded, if it is due to the user's own reasons and does not meet the eligible refund circumstances, or if the service is suspended or terminated due to the user's violation of this agreement. If the service cannot be provided normally due to force majeure, Zendeck may extend the service period based on the actual duration of the impact and will not support a full refund.
Special Notes.
One-time paid resource packs such as 7-day trial memberships and credit booster packs are non-refundable after purchase. If a user has multiple membership service periods simultaneously, the refund only applies to the current ineffective or unused service period.
7. Zendeck's Intellectual Property
Except as explicitly provided in these Terms, all intellectual property rights in the Service and Licensed Content remain the exclusive property of Zendeck and its licensors. You assign to Zendeck any suggestions, ideas, enhancement requests, or other feedback you provide to Zendeck relating to the Service or Zendeck's products. Zendeck owns all content, data, software, inventions, ideas, and other technology and intellectual property related to its Service and products.
8. Disclaimers
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, and subject to any non-excludable rights and remedies you may have under applicable law, Zendeck, its licensors, and its suppliers expressly disclaim any and all warranties of any kind, whether express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, or non-infringement. Zendeck does not warrant that your use of the Service will be uninterrupted or error-free. Zendeck does not guarantee that it will review your data for accuracy or that it will preserve or maintain your data without loss. You understand that use of the Service necessarily involves transmission of your data over networks that Zendeck does not own, operate, or control, and Zendeck is not responsible for any of your data lost, altered, intercepted, or stored across such networks. Zendeck is not responsible for delays, interruptions, service failures, or other problems inherent in use of the internet and electronic communications or other systems outside Zendeck's reasonable control.
9. Your Indemnification Obligations
You agree to indemnify, to the extent permitted by law, against any and all claims, costs, damages, losses, liabilities, and expenses (including reasonable attorneys' fees and costs) arising out of or in connection with (i) your violation of these Terms or (ii) your User Content.
10. Limitation of Liability
In no event shall either party's aggregate cumulative liability under this Agreement (whether in contract, tort, negligence, strict liability in tort, by statute, or otherwise) exceed the greater of (i) USD 100 or (ii) the subscription fees paid by you to Zendeck in the 12 months preceding the event giving rise to such liability. The foregoing limitations shall not apply to liability arising from your indemnification obligations or your breach of the section entitled "Restrictions on Use of Service."
In no event shall either party be liable for any consequential, incidental, indirect, special, punitive, or exemplary damages, losses, or expenses (including but not limited to business interruption, lost business, or lost profits), even if advised of the possibility of such damages and even if any remedy fails of its essential purpose. The foregoing limitations shall not apply to liability arising from your indemnification obligations or your breach of the section entitled "Restrictions on Use of Service."
Zendeck is not responsible for the content of User Content. These Terms do not affect consumer rights that cannot be waived or limited by law. These Terms do not exclude or limit liability arising from either party's gross negligence, fraud, or willful misconduct.
11. Term and Termination
Term.
These Terms are effective upon your first access to the Service and remain in full force and effect until:
- If you are a paid subscriber, your subscription expires or is terminated;
- If you are using an Zendeck free product, when your account is deleted or terminated.
Violations.
If Zendeck determines in its sole discretion that you or your use of the Service, your User Content, or your Designs have violated these Terms, including but not limited to Zendeck's Acceptable Use Policy, the section entitled "Restrictions on Use of Service," or the section entitled "Anti-Discrimination" (any of which is deemed a "Violation"), Zendeck may, in its sole discretion, take one or more of the following actions:
- Delete prohibited User Content or Designs;
- Suspend your access to the Service;
- Terminate and delete your account and all Designs and User Content associated with that account;
- Permanently ban you from using the Service; and/or
- Disclose prohibited User Content or Designs to relevant government agencies.
> If you break the rules, we have the right to remove you and everything in your account from the Service.
Effect of Termination.
If your subscription is terminated due to a breach by Zendeck, Zendeck will refund a pro-rata portion of any prepaid fees from the effective date of termination to the end of the current subscription period. If your subscription is terminated due to your Violation, you will not receive any refund and shall immediately pay all unpaid fees for the remaining subscription period. Once your subscription expires or is terminated, you must stop using the Service. After your subscription expires or is terminated, you will not be able to access your Designs, User Content, and any other information uploaded to the Service (unless prohibited by law, we may delete all such data). Even if your subscription expires, User Content included in shared Designs will still be available in that Design. Unless your account is terminated for a Violation, you may use the Service's features to download or export your User Content and Designs before your subscription expires or is terminated. If your account is terminated for a Violation, you may not create a new account on any Zendeck service unless you obtain written permission from Zendeck.
Survival of Terms.
The sections entitled "Term and Termination," "Billing," "Zendeck's Intellectual Property," "Limitation of Liability," "Indemnification," and "Miscellaneous" shall survive the expiration or termination of these Terms.
12. Miscellaneous
Compliance with Applicable Laws.
You agree to comply with all applicable local, state, national, and foreign laws, treaties, and regulations in connection with your use of the Service. Zendeck agrees to comply with all applicable local, state, national, and foreign laws, treaties, and regulations in connection with its provision of the Service.
Governing Law.
These Terms shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of laws provisions.
Export Restrictions.
The Service is subject to trade sanctions and laws and regulations that govern the import, export, and use of the Service. These laws or regulations may prohibit Zendeck from providing the Service to you or require us to stop providing the Service to you without notice. By using the Service, you agree to comply with all trade sanctions, import and export laws and regulations, and warrant that (i) you are not prohibited from accessing the Service, and (ii) you will not provide the Service to anyone who is prohibited from accessing the Service by the laws or regulations of any jurisdiction.
Dispute Resolution.
If you have any dispute regarding these Terms, please contact us by emailing support@Zendeck.com, and we will attempt to work with you to resolve the dispute. If we are unable to resolve the dispute, you and Zendeck agree that any claims arising out of or relating to these Terms (collectively, "Claims") shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with the then-current AAA Consumer Arbitration Rules, unless otherwise provided in this Agreement. The arbitration will be conducted via videoconference or at a reasonably convenient location agreed upon by the parties. Each party shall be responsible for paying any AAA filing, administrative, and arbitrator fees in accordance with AAA rules. The arbitrator's award may include arbitration fees, reasonable attorneys' fees, and reasonable expenses for experts and other witnesses, and any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. Nothing in this section shall prevent either party from seeking necessary injunctive or other equitable relief from a court to prevent actual or threatened infringement, misappropriation, or violation of that party's data security, intellectual property rights, or other proprietary rights. All claims must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. Unless otherwise agreed, the arbitrator or court may not consolidate more than one person's claims. You agree that by entering into this Agreement, you and Zendeck are each waiving the right to a trial by jury or to participate in a class action. You and Zendeck agree that any Claims brought in a Hong Kong court for any reason shall be brought in a Hong Kong court.
Assignment.
You may not assign these Terms or any of your rights under these Terms to any successor without Zendeck's consent, except through a merger, acquisition, or change of control. Zendeck may assign or transfer all or part of its rights and obligations under these Terms at any time, with or without notice.
Headings and Interpretations.
The headings and explanation boxes used in these Terms are for convenience only and will not in any way affect the meaning or interpretation of these Terms or any part thereof.
Severability.
If a particular provision of these Terms is held to be invalid or unenforceable, the other provisions shall not be affected, and that provision shall be construed in all respects as if the invalid or unenforceable provision had been limited or omitted to the minimum extent necessary.
Waiver.
Zendeck's failure to enforce or expressly waive any provision of these Terms shall not be construed in any way as a waiver of such provision now or in the future, nor shall it affect Zendeck's ability to enforce any provision thereafter.
Notices.
All notices sent to you will be sent to the email address associated with your account or in other ways permitted by law.
DMCA.
We respect the intellectual property rights of artists and content owners. We will respond to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act of 1998 ("DMCA"). For more information, please read our Intellectual Property Policy.
Changes to These Terms.
We may modify these Terms (and any policies or agreements referenced in these Terms) at any time. We will post the latest version of these Terms on [URL]. If there are changes to the Terms (which we, in our sole discretion, determine will have a material adverse effect on your rights or your use of the Service), we will provide you with reasonable advance notice. We may provide this notice through the Service and/or via email to the email address associated with your account. If you continue to use the Service after any revised Terms become effective, you agree to be bound by the new Terms.
Changes to the Service.
Zendeck may at any time add, change, or remove features of a Service; modify or introduce storage or other features; or discontinue the Service entirely. If you are on a paid subscription and Zendeck discontinues the Service you are using during your subscription term, Zendeck will migrate you to or provide you with a substantially similar service provided by Zendeck (if available), and if unable to do so, Zendeck will provide a pro-rata refund of fees for the remaining subscription period.
Entire Agreement.
These Terms, together with the terms and policies referenced herein, constitute the entire agreement between you and Zendeck regarding the Service. These Terms supersede any prior written or oral representations, agreements, or understandings (including prior versions of the Terms) between you and Zendeck regarding the Service. Notwithstanding acceptance of such purchase orders, all terms, conditions, or provisions on a purchase order shall be null and void. The English version of these Terms shall be binding.
